Harvest or otherwise collect information about others, including email addresses;
Violate any applicable laws or regulations;
Create a false identity for the purpose of misleading others; and
Use, download or otherwise copy, or provide (whether or not for a fee) to a person or entity any directory of users of the Services or other user or usage information or any portion thereof.
Urban Referral Network has no obligation to monitor the Services provided by a business and/or service provider participating in our Network. However, Urban Referral Network will stand behind you in the process until you are satisfied and will not endorse any business unless it passes our screening requirements, including a customer satisfaction background investigation. Urban Referral Network reserves the right at all times to disclose any information as it deems necessary to satisfy any applicable law, regulation, legal process or governmental request, or to edit, refuse to post or to remove any information or materials,
in whole or in part, in Urban Referral Network's sole discretion. Always use caution when giving out any personally identifiable information in any Services.
6. MATERIALS PROVIDED TO URBAN REFERRAL NETWORK OR POSTED AT URBAN REFERRAL WEBSITE

THE USER AGREES TO SATISFY THEMSELVES THAT THE CONTRACTOR MEETS THE STANDARDS OF WORK REQUIRED OR DESIRED. THE USER HEREBY HOLDS URBAN REFERRAL HARMLESS FROM ANY DEFECT IN WORKMANSHIP, DEFAULT, DAMAGE, INJURY OR EXPENSE ARISING OUT OF THE WORK PERFORMED BY A CONTRACTOR REFERRED BY URBAN REFERRAL AND HIRED BY THE USER. THE HOMEOWNER/USER SHALL DEFEND AND INDEMNIFY URBAN REFERRA, ITS AGENTS, EMPLOYEES, AND MEMBERS, FOR ANY AND ALL LIABILITIES, CLAIMS, AND/OR EXPENSES OF ANY KIND WHATSOEVER ARISING FROM URBAN REFERRALS REFERRAL OF CONTRACTORS OR OTHERS TO THE HOMEOWNER/USER.
WWW.URBANREFERRALNETWORK.COM IS PROVIDED ON AN "AS IS" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, WARRANTIES OF TITLE OR IMPLIED WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE, OTHER THAN THOSE WARRANTIES WHICH ARE IMPLIED BY AND INCAPABLE OF EXCLUSION, RESTRICTION OR MODIFICATION UNDER THE LAWS APPLICABLE TO THIS AGREEMENT.
THIS DISCLAIMER OF LIABILITY APPLIES TO ALL DAMAGES OR INJURY CAUSED BY ANY FAILURE OF PERFORMANCE, ERROR, OMISSION, INTERRUPTION, DELETION, DEFECT, DELAY IN OPERATION OR TRANSMISSION, COMPUTER VIRUS, COMMUNICATION LINE FAILURE, THEFT OR DESTRUCTION OR UNAUTHORIZED ACCESS TO, ALTERATION OF, OR USE OF RECORD, WHETHER FOR BREACH OF CONTRACT, TORTIOUS BEHAVIOR, NEGLIGENCE, OR UNDER ANY OTHER CAUSE OF ACTION. THE USER SPECIFICALLY ACKNOWLEDGES THAT URBAN REFERRAL NETWORK IS NOT LIABLE FOR THE DEFAMATORY, OFFENSIVE OR ILLEGAL CONDUCT OF OTHER USERS OR THIRD-PARTIES AND THAT THE RISK OF INJURY FROM THE FOREGOING RESTS ENTIRELY WITH USER.
IN NO EVENT WILL URBAN REFERRAL NETWORK, OR ANY AFFILIATES OR REPRESENTATIVES, BE HELD LIABLE FOR ANY DAMAGES, INCLUDING, WITHOUT LIMITATION, DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES ARISING OUT OF THE USE OF OR INABILITY TO USE WWW.URBANREFERRALNETWORK.COM USER HEREBY ACKNOWLEDGES THAT THE PROVISIONS OF THIS SECTION SHALL APPLY TO ALL CONTENT ON THE SITE.
IN ADDITION TO THE TERMS SET FORTH ABOVE NEITHER, URBAN REFERRAL NETWROK, NOR ITS AFFILIATES, INFORMATION PROVIDERS OR CONTENT PARTNERS SHALL BE LIABLE REGARDLESS OR THE CAUSE OR DUARATION, FOR ANY ERRORS, INACCURACIES, OMISSINS, OR OTHER DEFECTS IN, OR UNTIMELINESS OR UNAUTHENTICITY OF, THE INFORMATION CONTAINED WITHIN WWW.URBANREFERRALNETWORK.COM, OR FOR ANY DELAY OR INTERRUPTION IN THE TRANSMISSION THEREOF TO THE USER, OR ANY CLAIMS OR LOSSES TO ANY NATURE, INCLUDING, BUT NOT LIMITED TO LOST PROFITS, PUNITIVE OR CONSEQUENTIAL DAMAGES.
FORCE MAJEURE – NEITHER PARTY WILL BE RESPONSIBLE FOR ANY FAILURE OR DELAY IN PERFORMANCE DUE TO CIRCUMSTANCES BEYOND ITS REASONABLE CONTROL, INCLUDING, WITHOUT LIMITATION, ACTS OF GOD, WAR, RIOT, EMBARGOES, ACTS OF CIVIL OR MILITARY AUTHORITIES, FIRE, FLOODS, ACCIDENTS, SERVICE OUTAGES RESULTING FROM EQUIPMENT AND/OR SOFTWARE FAILURE AND/OR TELECOMMUNICATIONS FAILURES, POWER FAILURES, NETWORK FAILURES, FAILURES OF THIRD PARTY SERVICE PROVIDERS (INCLUDING PROVIDERS OF INTERNET SERVICES AND TELECOMMUNICATIONS). THE PARTY AFFECTED BY ANY SUCH EVENT SHALL NOTIFY THE OTHER PARTY WITHIN A MAXIMUM OF FIFTEEN (15) DAYS FROM ITS OCCURENCE. THE PERFORMANCE OF THS AGREEMENT SHALL THEN BE SUSPENDED FOR AS LONG AS ANY SUCH EVENT SHALL PREVENT THE AFFECTED PARTY FROM PERFORMING ITS OBLIGATIONS UNDER THIS AGREEMENT.
8. MONITORING
Urban Referral Network shall have the right, but not the obligation, to monitor the content of www.urbanreferralnetwork.com, to determine compliance with this Agreement and any operating rules established by Urban Referral Network and to satisfy any law, regulation or authorized government request. Urban Referral Network shall have the right in its sole discretion to edit, refuse to post or remove any material submitted to or posted on www.urbanreferralnetwork.com. Without limiting the foregoing, Urban Referral Network shall have the right to remove any material that Urban Referral Network, in its sole discretion, finds to be in violation of the provisions hereof or otherwise objectionable.
9. INDEMNIFICATION
User agrees to defend, indemnify and hold harmless Urban Referral Network, its affiliates and their respective directors, officers, employees and agents from and against all claims and expenses, including attorneys' fees, arising out of the use of Urban Referral Network by User.
10. TERMINATION
Either Urban Referral Network or User may terminate this Agreement at any time. Without limiting the foregoing, Urban Referral Network shall have the right to immediately terminate User's Account in the event of any conduct by User which Urban Referral Network, in its sole discretion, considers to be unacceptable, or in the event of any breach by User of this Agreement.
11. MISCELLANEOUS
This Agreement and any operating rules for www.urbanreferralnetwork.com established by Urban Referral Network constitute the entire agreement of the parties with respect to the subject matter hereof, and supersede all previous written or oral agreements between the parties with respect to such subject matter. This Agreement shall be construed in accordance with the laws of the United States of America, without regard to its conflict of laws rules. No waiver by either party of any breach or default hereunder shall be deemed to be a waiver of any preceding or subsequent breach or default. The section headings used herein are for convenience only and shall not be given any legal import.

13. TRADEMARKS

IN NO EVENT WILL URBAN REFERRAL NETWORK, OR ANY AFFILIATES OR REPRESENTATIVES, BE HELD LIABLE FOR ANY DAMAGES, INCLUDING, WITHOUT LIMITATION, DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES ARISING OUT OF THE USE OF OR INABILITY TO USE WWW.URBANREFERRALNETWORK.COM USER HEREBY ACKNOWLEDGES THAT THE PROVISIONS OF THIS SECTION SHALL APPLY TO ALL CONTENT ON THE SITE.
IN ADDITION TO THE TERMS SET FORTH ABOVE NEITHER, URBAN REFERRAL NETWROK, NOR ITS AFFILIATES, INFORMATION PROVIDERS OR CONTENT PARTNERS SHALL BE LIABLE REGARDLESS OR THE CAUSE OR DUARATION, FOR ANY ERRORS, INACCURACIES, OMISSINS, OR OTHER DEFECTS IN, OR UNTIMELINESS OR UNAUTHENTICITY OF, THE INFORMATION CONTAINED WITHIN WWW.URBANREFERRALNETWORK.COM, OR FOR ANY DELAY OR INTERRUPTION IN THE TRANSMISSION THEREOF TO THE USER, OR ANY CLAIMS OR LOSSES TO ANY NATURE, INCLUDING, BUT NOT LIMITED TO LOST PROFITS, PUNITIVE OR CONSEQUENTIAL DAMAGES.
FORCE MAJEURE – NEITHER PARTY WILL BE RESPONSIBLE FOR ANY FAILURE OR DELAY IN PERFORMANCE DUE TO CIRCUMSTANCES BEYOND ITS REASONABLE CONTROL, INCLUDING, WITHOUT LIMITATION, ACTS OF GOD, WAR, RIOT, EMBARGOES, ACTS OF CIVIL OR MILITARY AUTHORITIES, FIRE, FLOODS, ACCIDENTS, SERVICE OUTAGES RESULTING FROM EQUIPMENT AND/OR SOFTWARE FAILURE AND/OR TELECOMMUNICATIONS FAILURES, POWER FAILURES, NETWORK FAILURES, FAILURES OF THIRD PARTY SERVICE PROVIDERS (INCLUDING PROVIDERS OF INTERNET SERVICES AND TELECOMMUNICATIONS). THE PARTY AFFECTED BY ANY SUCH EVENT SHALL NOTIFY THE OTHER PARTY WITHIN A MAXIMUM OF FIFTEEN (15) DAYS FROM ITS OCCURENCE. THE PERFORMANCE OF THS AGREEMENT SHALL THEN BE SUSPENDED FOR AS LONG AS ANY SUCH EVENT SHALL PREVENT THE AFFECTED PARTY FROM PERFORMING ITS OBLIGATIONS UNDER THIS AGREEMENT.
8. MONITORING
Urban Referral Network shall have the right, but not the obligation, to monitor the content of www.urbanreferralnetwork.com, to determine compliance with this Agreement and any operating rules established by Urban Referral Network and to satisfy any law, regulation or authorized government request. Urban Referral Network shall have the right in its sole discretion to edit, refuse to post or remove any material submitted to or posted on www.urbanreferralnetwork.com. Without limiting the foregoing, Urban Referral Network shall have the right to remove any material that Urban Referral Network, in its sole discretion, finds to be in violation of the provisions hereof or otherwise objectionable.
9. INDEMNIFICATION
User agrees to defend, indemnify and hold harmless Urban Referral Network, its affiliates and their respective directors, officers, employees and agents from and against all claims and expenses, including attorneys' fees, arising out of the use of Urban Referral Network by User.
10. TERMINATION
Either Urban Referral Network or User may terminate this Agreement at any time. Without limiting the foregoing, Urban Referral Network shall have the right to immediately terminate User's Account in the event of any conduct by User which Urban Referral Network, in its sole discretion, considers to be unacceptable, or in the event of any breach by User of this Agreement.
11. MISCELLANEOUS
This Agreement and any operating rules for www.urbanreferralnetwork.com established by Urban Referral Network constitute the entire agreement of the parties with respect to the subject matter hereof, and supersede all previous written or oral agreements between the parties with respect to such subject matter. This Agreement shall be construed in accordance with the laws of the United States of America, without regard to its conflict of laws rules. No waiver by either party of any breach or default hereunder shall be deemed to be a waiver of any preceding or subsequent breach or default. The section headings used herein are for convenience only and shall not be given any legal import.

13. TRADEMARKS
The names of actual companies and products mentioned herein may be the trademarks of their respective owners. The example companies, organizations, products, domain names, email addresses, logos, people and events depicted herein are fictitious. No association with any real company, organization, product, domain name, email address, logo, person, or event is intended or should be inferred.
